Aims

  • Building on existing knowledge, to examine the legal attributes rights and duties of company directors and shareholders and their legal relationship to each other.
  • To develop an understanding of different regulatory approaches that are used in relation to different types of company, and the role played by each.
  • To equip future company directors with the skills they need in order to work effectively within the legal framework.

Syllabus

Topics will be selected each year as the subject develops but will include many of the following:

  • Theories of the company and the relationship with substantive law.
  • The legal position of company directors.
  • Rights and duties of shareholders and their relationship with the company and its directors.
  • The capital of the company.
  • Legal personality.
  • Corporate crime.
  • Corporate regulation: law, corporate governance, and regulation by the market.
  • European company law.
  • Takeovers and mergers.
  • Companies and human rights.
  • Multinational companies and the international legal order.
  • Corporate Insolvency and the position of the director.

Learning Outcomes

Subject Mastery

  • Demonstrate a critical understanding of the principal theories concerning companies shareholders and directors.
  • Demonstrate evaluation skills in relation to law reform in this area.
  • Demonstrate understanding of the changing nature of law relating to companies, and of approaches taken in other countries to law reform.
  • Research in depth the work of academic writers in the area of company law and corporate governance.
  • Research existing and developing case law and legislation through case reports, governmental publications and journals.
  • Compare aspects of UK law with relevant law in other similar states in order to make proposals for law reform.
  • Critically evaluate scholarly writing in the area.
